Sir Meccanica S.p.A. is certified according to international standards, demonstrating its commitment to pursuing concrete objectives in terms of service quality and sustainability.
 

COMPANY POLICIES

Legislative Decree 231/01 – “Regulations on the Administrative Liability of Legal Entities, Companies, and Associations, Including Those Without Legal Personality”.
In compliance with Legislative Decree 231/2001, Sir Meccanica S.p.A. has adopted the Organizational, Management and Control Model 231 (hereinafter also referred to as the “Model”), designed to prevent the commission of crimes that could lead to the Company’s administrative liability if committed in its interest or for its benefit.
The adoption of the Model is based on generally accepted principles of transparency, fairness, and integrity, to which the Company adheres. These principles support the implementation of Model 231, ensuring the effective performance of sensitive activities and helping prevent the commission of crimes through the application of the provisions set forth in Legislative Decree 231/2001.
The Model aims to establish a structured and systematic set of procedures and control activities designed to prevent the crimes specified in Legislative Decree 231/2001 by identifying high-risk activities and introducing appropriate procedural safeguards.
Through the adoption of the Model, Sir Meccanica S.p.A. pursues the following key objectives:
  • To affirm ethical values and respect for legality;
  • To raise awareness among the Model’s recipients regarding the risk of committing offenses punishable by criminal sanctions and administrative penalties for both individuals and the Company in the event of non-compliance;
  • To reiterate that any form of unlawful conduct is strongly condemned by Sir Meccanica S.p.A., even when such conduct could seemingly benefit the Company, as it contradicts both legal provisions and the ethical standards the Company upholds in its business operations;
  • To enable the Company, through risk monitoring, to act promptly to prevent or address potential violations.
Any violation of Model 231 may be reported to the Supervisory Body (Organismo di Vigilanza, OdV).
Sir Meccanica S.p.A. has also recently obtained the Legality Rating.

Supervisory Body (Pursuant to Legislative Decree 231/01)– Lawyer Rocco Sgrò
In accordance with the Organizational Model, the Code of Ethics, and its subsequent updates, Sir Meccanica S.p.A. protects anyone who, in defense of the integrity of the Company and its employees, wishes to report potential violations by contacting the Supervisory Body (OdV).
Any report or request related to the offenses listed in Legislative Decree 231/01 (refer to “Information 231”) can be sent to the OdV at the following certified email address: roccosgro@pec.it

Whistleblowing Reports (pursuant to Legislative Decree No. 24/2023)
Whistleblowing is a legal instrument designed to protect workers who report crimes or fraudulent activities committed within their organization and for its benefit.
Legislative Decree No. 24 of March 10, 2023, has strengthened the existing protections in place since 2017, requiring employers and entities to implement measures that ensure, including through encryption tools, the confidentiality of the whistleblower’s identity, as well as that of the person involved and mentioned in the report, along with the contents and supporting documentation.
The decree specifies:
  • Who may file a report,
  • The types of violations subject to reporting (including, but not limited to, administrative, accounting, civil, or criminal offenses; conduct falling under Legislative Decree 231/2001; breaches of organizational models; violations of EU regulations, etc.),
  • The procedures the appointed manager must follow in handling the reports.
Reports may be submitted:
  • In writing, by filling out the appropriate form and sending it to the Reporting Manager,
  • Orally, through a meeting with the Reporting Manager.
